Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you” or “User”) and Calcutta Central LLC(“Calcutta Central,” “we,” “us,” or “our”). By accessing or using the Calcutta Central website, platform, or any associated services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. If you do not agree to these Terms, you are prohibited from using or accessing the Service.

2. Description of Service

Calcutta Central is a web-based platform that enables organizers (“Admins”) to create and manage Calcutta-style auction pool competitions. The Service provides tools for running live auctions where participants bid on entries in a competition, tracking bids and results, managing participants and payouts, and sending related communications.

The Service is provided to Admins on a subscription basis. Participants who join pools through an Admin’s invite link use a limited, non-subscription portion of the platform. Calcutta Central does not organize, run, or supervise the underlying pools or competitions, and is not a party to any financial transactions between Admins and participants.

3. Eligibility

To use the Service, you represent and warrant that you:

• Are at least 18 years of age;
• Have the legal capacity to enter into a binding contract in your jurisdiction;
• Are not barred from using the Service under applicable law; and
• Will provide accurate, current, and complete information when creating an account or using the Service.

Calcutta Central reserves the right to refuse service to any person or entity at any time for any reason. Use of the Service by anyone under 18 is strictly prohibited.

4. Account Registration and Security

To access Admin features, you must register for an account. You agree to:

• Provide accurate, current, and complete registration information;
• Maintain and promptly update your account information;
• Maintain the security and confidentiality of your password;
• Create only one account per person or organization; and
• Notify us immediately at support@calcuttacentral.com of any unauthorized use of your account or any other breach of security.

You are responsible for all activity that occurs under your account. Calcutta Central will not be liable for any loss or damage arising from your failure to maintain the security of your account.

5. Subscriptions and Billing

Plans: Calcutta Central offers the following plans:

• Free Trial — 14-day free access to all Admin features. No credit card required to start.
• Pro Monthly — $9.99/month, billed monthly.
• Pro Annual — $99.99/year, billed annually.
• Event Pass — $6.99 one-time fee per event period.

Billing: All paid plans are processed through Stripe. By subscribing, you authorize Calcutta Central to charge your payment method on a recurring basis for the applicable plan fees. You are responsible for ensuring your payment information is accurate and up to date.

No Refunds: All fees are non-refundable. There are no refunds or credits for partial periods, unused features, or early cancellation on any plan, including the Event Pass.

Cancellation: You may cancel your subscription at any time through the Billing page in your Admin dashboard. Cancellation takes effect at the end of the current billing period, and you retain access to the Service until that date.

Price Changes:Calcutta Central reserves the right to change subscription prices with at least 30 days’ prior notice. Continued use of the Service after the price change takes effect constitutes your acceptance of the new price.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

• For any purpose that violates applicable local, state, national, or international law or regulation;
• In any manner that violates gambling, wagering, or lottery laws in your jurisdiction — it is your sole responsibility to ensure your use of the Service complies with applicable laws;
• To impersonate any person or entity or misrepresent your affiliation with any person or entity;
• To attempt to gain unauthorized access to any portion of the Service or its related systems;
• To upload, transmit, or distribute any harmful, offensive, or disruptive content;
• To reverse engineer, decompile, or disassemble any part of the Service;
• To scrape, crawl, or otherwise harvest data from the Service without our express written consent; or
• To resell, sublicense, or otherwise provide access to the Service to third parties.

7. User Content

You retain ownership of any content you submit, post, or display through the Service (“User Content”), including event names, participant data, and payout configurations. By submitting User Content, you grant Calcutta Central a limited, non-exclusive, royalty-free license to store, display, and process your User Content solely as necessary to operate and provide the Service.

You are solely responsible for your User Content and represent that you have all rights necessary to submit it. Calcutta Central does not endorse any User Content and is not responsible for any User Content submitted by you or any other user.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Calcutta Central does not sell your personal data to third parties. Payment information is collected and processed exclusively by Stripe; Calcutta Central does not store payment card details on its own servers.

9. Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, text, graphics, logos, and design — are owned by Calcutta Central LLCand are protected by copyright, trademark, and other intellectual property laws. “Calcutta Central” is a trademark of Calcutta Central LLC. You may not use our trademarks or branding without our prior written consent.

Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use the Service as permitted by these Terms.

10. Third-Party Services

The Service integrates with third-party providers including Stripe (payment processing), Resend (email delivery), Supabase (database and authentication), and Vercel (hosting). These providers operate under their own terms and privacy policies. Calcutta Central is not responsible for the acts, omissions, or policies of any third-party provider. Your use of third-party services may be subject to additional terms imposed by those providers.

11. Social Gaming Intended Use

The Service is designed and intended solely for bona fide social gaming activities in which one hundred percent (100%) of the collected pool is paid out to participating players as prizes, with no portion of the pool retained by the organizer as profit, commission, rake, or house cut of any kind. Admins agree that they will not use the Service to conduct any pool or auction in which the organizer retains any portion of participant funds beyond reimbursement of reasonable, documented out-of-pocket expenses directly associated with running the event.

Any use of the Service that involves the organizer retaining a financial benefit from the pool beyond what is described above is a material violation of these Terms and may result in immediate account termination.

12. Legal Compliance — Admin Responsibility

The Admin is solely and exclusively responsible for ensuring that their use of the Service complies with all applicable federal, state, provincial, and local laws, statutes, ordinances, and regulations, including but not limited to laws and regulations governing gambling, wagering, lotteries, games of chance, sweepstakes, and prize competitions.

The legality of Calcutta-style auction pools varies by jurisdiction. Calcutta Central makes no representation, warranty, or guarantee that use of the Service is lawful in any particular jurisdiction. It is your responsibility to consult with qualified legal counsel in your jurisdiction before organizing or participating in any pool or auction using the Service.

Calcutta Central expressly disclaims any obligation to monitor, advise on, or ensure the legal compliance of any pool or auction conducted using the Service.

13. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

CALCUTTA CENTRAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE.

CALCUTTA CENTRAL IS NOT RESPONSIBLE FOR THE OUTCOME OF ANY AUCTION, THE COLLECTION OR DISTRIBUTION OF FUNDS BETWEEN ADMINS AND PARTICIPANTS, OR ANY DISPUTES ARISING THEREFROM. ALL FINANCIAL TRANSACTIONS ARE SOLELY BETWEEN THE ADMIN AND PARTICIPANTS.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALCUTTA CENTRAL LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO CALCUTTA CENTRAL LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $50, WHICHEVER IS GREATER.

15. Indemnification

You agree to indemnify, defend, and hold harmless Calcutta Central LLCand its officers, directors, employees, and agents from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights or applicable law; or (e) any claim, investigation, fine, or legal action brought by any governmental authority or private party related to the legality of any pool, auction, or competition you organize or participate in using the Service, including any allegation that such pool or auction constitutes illegal gambling, an unlicensed lottery, or an unauthorized game of chance under applicable law.

This indemnification obligation survives the termination or expiration of these Terms and your cessation of use of the Service.

16. Termination

Calcutta Central reserves the right to suspend or terminate your account and access to the Service at any time and for any reason, including but not limited to violation of these Terms, without prior notice or liability.

You may cancel your account at any time through the Billing page in your Admin dashboard. Upon termination, your right to use the Service ceases immediately. Your data may be retained for a reasonable period following termination in accordance with our Privacy Policy and applicable law.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Maryland, and you hereby consent to the personal jurisdiction of such courts.

18. Changes to Terms

Calcutta Central reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. We encourage you to review these Terms periodically.

19. Beta and Early Access

Calcutta Central is currently in private beta. During the beta period, the Service may be incomplete, contain bugs, or change substantially without notice. Features available during beta may be modified, limited, or removed in future versions. Calcutta Central makes no uptime or availability guarantees during the beta period. Your feedback and participation during beta are voluntary and may be used to improve the Service.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Calcutta Central LLC with respect to the Service and supersede all prior and contemporaneous agreements, understandings, and representations. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
